SCALE New Orleans Membership Terms of Use

These Membership Terms of Use (the “Agreement”) constitute a binding agreement between you (the “Member”) and SCALE New Orleans (“SCALE,” “we,” “us,” or “our”), located at 612 Andrew Higgins Dr, 2nd Floor, New Orleans, Louisiana 70130.

By signing up for a membership, accessing the SCALE New Orleans workspace, or using the SCALE New Orleans Portal (hosted via Nexudus at https://scaleneworleans.nexudus.site/scaleneworleans) (the “Portal”), you agree to the terms and conditions outlined below, as well as our Website Terms of Use and Privacy Policy.

1. The Services
Subject to the terms of this Agreement, SCALE New Orleans will provide you with access to our coworking space, office facilities, internet connection, the Portal, and other related services (collectively, the “Services”). The specific features of your Services depend on the membership tier you select. SCALE New Orleans reserves the right to modify, upgrade, or temporarily suspend the Services for maintenance with reasonable notice.

2. Member Portal and Account Security
Members are required to create an account on the SCALE New Orleans Portal (powered by Nexudus) to manage their membership, book conference rooms, pay invoices, and connect with other members.
• You must provide accurate and complete information when creating your account.
• You are solely responsible for maintaining the confidentiality of your Portal login credentials and for any activity that occurs under your account.
• You agree to notify us immediately of any unauthorized use of your account or security breaches.

3. Payment and Fees
•  Membership Fees: By signing up for a membership, you agree to pay the recurring monthly fees associated with your selected plan.
•  Billing Cycle: Membership fees are billed automatically on the 1st of each month (or your specific billing anniversary) via the payment method linked in your Portal account.
•  Additional Charges: Use of certain amenities, such as premium conference room bookings, printing beyond your allotment, or event space rentals, may incur additional fees. These will be clearly communicated and billed to your account.
•  Late Payments: If payment is not successfully processed within a specified grace period, SCALE New Orleans reserves the right to charge a late fee, suspend your access to the space and Portal, or terminate your membership.

4. House Rules and Code of Conduct
To ensure a productive, safe, and welcoming environment for all members, you agree to abide by the following rules:
•  Professional Conduct: You agree to conduct yourself in a professional, respectful manner. Harassment, discrimination, or abusive behavior toward SCALE New Orleans staff, guests, or other members will not be tolerated and is grounds for immediate termination of your membership.
•  Noise Levels: Please be considerate of others. Keep phone calls, conversations, and audio at a reasonable volume. Use designated phone booths or conference rooms for extended or loud calls.
•  Cleanliness: You are expected to leave common areas, desks, and meeting rooms in a clean and tidy condition.
•  Illegal Activities: You may not use the Services or the SCALE New Orleans physical space for any illegal, unethical, or fraudulent activities.
•  Security: You may not prop open exterior doors or allow unauthorized individuals into the workspace. If you are issued an access key or card, it is strictly for your personal use and may not be shared or copied.

5. Guest Policy
Members are welcome to bring guests into the workspace for meetings.
•  All guests must be registered upon arrival.
•  Guests are only permitted in the space while accompanied by the hosting Member.
•  You are fully responsible for the behavior of your guests and for ensuring they comply with these Terms. Guests who violate the Code of Conduct may be asked to leave, which may negatively impact your membership status.

6. Mail and Packages
If your membership tier includes mail handling services, you may use the SCALE New Orleans address as your business mailing address. SCALE New Orleans will accept mail and standard packages on your behalf. We are not liable for any lost, damaged, or stolen mail or packages. Mail services must immediately cease upon the termination of your membership.

7. Term and Termination
•  Month-to-Month Memberships: Unless otherwise specified in a custom agreement, memberships operate on a month-to-month basis.
•  Cancellation by Member: You may cancel your membership by providing written notice via the Portal or email to contact@scaleneworleans.com at least thirty (30) days prior to your next billing date.
•  Termination by SCALE: We reserve the right to terminate your membership and access to the Services immediately, without refund, if you breach these Terms, violate the Code of Conduct, or fail to pay outstanding fees.

8. Liability and Indemnification
•  Personal Property: SCALE New Orleans is not responsible for the loss, theft, or damage of your personal property or the property of your guests. We highly recommend that you maintain your own personal property or renter’s insurance.
•  Waiver of Liability: To the maximum extent permitted by law, you agree that SCALE New Orleans, its affiliates, and its staff shall not be liable for any direct, indirect, incidental, or consequential damages resulting from your use of the workspace, network, or Services.
•  Indemnification: You agree to indemnify and hold harmless SCALE New Orleans and its affiliates from any claims, liabilities, damages, or expenses (including attorney's fees) arising from your use of the Services, your guests' actions, or any breach of this Agreement.

9. Modification of Terms
SCALE New Orleans reserves the right to update or modify these Membership Terms of Use at any time. We will notify members of any material changes via email or an announcement on the Portal. Continued use of the Services after such changes indicates your acceptance of thenew Terms.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be resolved in the state or federal courts located in Orleans Parish, Louisiana.
